Terms of Service

1. Agreement to Terms

By accessing or using the services provided by NCDigital, you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use our services or infrastructure.

2. Bespoke Development & Intellectual Property

Upon full payment of all project fees, the Client is granted a licence to use the custom code developed by NCDigital for the intended purpose. However:

• NCDigital Core: The underlying framework, "Anti-Bloat" architecture, and proprietary PHP libraries remain the intellectual property of NCDigital.
• Open Source: Any third-party libraries used are subject to their respective licences.

3. Managed Hosting & Service Level Agreement (SLA)

Our managed hosting is provided via 20i infrastructure. We aim for a 99.9% uptime. However:

• Maintenance: Scheduled maintenance will be communicated 24 hours in advance where possible.
• Third-Party Failure: NCDigital is not liable for outages caused by upstream providers or global DNS disruptions.
• Security: While we implement AES-256 encryption and proactive WAFs, the Client is responsible for maintaining secure passwords for their respective access points.

4. Automation & AI Logic

Automation workflows (built via n8n or custom Python) are provided "as-is" based on the logic mapping agreed upon during the Audit phase. NCDigital is not responsible for data errors resulting from changes made to third-party APIs (e.g., Google, HubSpot, or Monday.com) after the deployment phase.

5. Limitation of Liability

To the maximum extent permitted by UK law, NCDigital shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities arising from the use of our technical infrastructure.

Governing Law

These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England.
